SMS Messaging Terms & Compliance

  1. Program Description: This messaging program sends appointment confirmation and reminder messages to customers who have booked an appointment with Amdel LLC through our website at https://www.amdel.ai, or via our scheduling forms, and have explicitly opted in to receive SMS notifications. Opt-in is collected via web forms with a dedicated checkbox for SMS consent. Messages include scheduling confirmations, appointment reminders, rescheduling updates, and customer support communications.
  2. Cancellation Instructions: You can cancel the SMS service at any time. Simply text “STOP” to the same number that sent you messages. Upon sending “STOP,” we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.
  3. Support Information: If you experience issues with the messaging program, reply with the keyword “HELP” for more assistance, or reach out directly to administrator@amdelllc.com or call +1 888-487-2171 during business hours.
  4. Carrier Liability: Carriers are not liable for delayed or undelivered messages.
  5. Message & Data Rates: Message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies based on your service usage and appointment schedule. For questions about your text plan or data plan, contact your wireless provider.
  6. Supported Carriers: Our SMS program works with all major U.S. wireless carriers, including AT&T, T-Mobile, Verizon, Sprint, and most regional carriers.
  7. Age Restriction: You must be 18 years or older to participate in our SMS program.

We comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines, regarding the use of SMS communications.

2. Services

We provide AI agent automation solutions designed to optimize and streamline business processes for B2B customers. Details of the Services, including functionalities, support, and maintenance, are set forth in the applicable order forms, service agreements, or proposals.

3. Eligibility

You represent and warrant that you are a business entity authorized to enter into these Terms and that you will use the Services solely for lawful business purposes.

4. Subscription and Payment

a. Access to the Services is provided on a subscription basis as agreed in individual agreements or order forms.
b. Fees are due upfront for 30 days of service on a subscription/retainer basis.
c. Refund Policy:

  • 75% refund of unconsumed funds is available up to 30 days after the start of the paid service period.
  • 50% refund is available between 30 to 60 days after the start of the paid service period.
  • 25% refund is available thereafter.

d. Late payments may incur penalties or suspension of service.
e. Taxes are the responsibility of the customer unless otherwise stated.

5. License and Use

a. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.
b. You agree not to:

  • Reverse engineer, decompile, or disassemble the Services.
  • Use the Services to violate any law or third-party rights.
  • Share access credentials with unauthorized users.

6. Ownership of Deliverables

Client shall own all rights, title, and interest in and to all code, software, documents, inventions, and other deliverables produced or developed for the Client under this agreement, upon payment in full for the Services. The Company retains no ownership rights in such deliverables except as otherwise agreed in writing.

7. Customer Data

a. You retain ownership of all data you provide or generate using the Services (“Customer Data”).
b. We will process Customer Data consistent with our Privacy Policy and applicable laws.
c. We implement industry-standard technical and organizational measures to protect Customer Data.

8. Support and Maintenance

We provide support and maintenance as described in the service agreement or subscription plan. Support may include troubleshooting, updates, and improvements to AI agent automations.

9. Warranties and Disclaimers

a. We strive to provide reliable and accurate Services but do not guarantee uninterrupted or error-free operation.
b. The Services are provided “as is” without warranties of any kind except those expressly stated.

10. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages arising from these Terms or the use of the Services.

11. Confidentiality

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages arising from these Terms or the use of the Services.

12. Term and Termination

a. These Terms remain effective until terminated by either party with written notice as provided in the agreement.
b. Upon termination, your access to the Services will end, and any outstanding fees remain payable.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming.

14. Changes to Terms

We may update these Terms of Service from time to time. The latest version will always be available on our website with the effective date.
